Alliance Reservations Network Affiliate Agreement

This agreement made and entered into this this 6 day of July, 2008, by and between Tourist Bureau Marketing, Inc. dba Alliance Reservations Network, an Arizona Corporation, located at 14435 N. 7th Street, Suite #300, Phoenix, Arizona 85022 (hereinafter referred to as the COMPANY) and LINK PARTNER, whose name and place of business were submitted with this Agreement.
This agreement establishes the terms and conditions of the relationship between COMPANY and LINK PARTNER.
1. Products - Under the terms of this Agreement, the LINK PARTNER will market travel reservations via their web site(s) in return for commission from the COMPANY by placing an ad, provided by the COMPANY, onto the COMPANY designated website belonging to the LINK PARTNER.  COMPANY will create a link object to be placed on Link Partners site and LINK PARTNER agrees not to modify the object, whatsoever. LINK PARTNER understands that this agreement to sell the COMPANY’S products is non-exclusive, that they agree not to pass on the COMPANY object without written permission, that COMPANY may appoint one or more additional LINK PARTNERS having marketing efforts same marketplace and/or geographic area, and the COMPANY itself may also sell the same products and services to purchasers located anywhere.
2. Commission - The COMPANY shall pay the LINK PARTNER a commission of $5.00 US dollars (five dollars and 00/100’s) according to the most current COMPANY compensation policy for Link Partners.  Commissions payable pursuant to this agreement shall be paid monthly within 15 days of the end of the month in which the COMPANY has verified the commission income.  The above commissions shall be the sole compensation that the LINK PARTNER is entitled to receive under this agreement.  All orders are subject to acceptance by the COMPANY.  Payment to LINK PARTNER will be made by electronic funds transfers (EFT’s). The COMPANY will supply the LINK PARTNER with an account summary (through a password protected extranet), which will track, in real-time, the number of click throughs, booking forms and confirmed bookings submitted by users referred by the LINK PARTNER.  
3. Termination/Breach - The term of the agreement shall be one year from the date this agreement is presented to the COMPANY and accepted by the COMPANY and shall automatically renew for successive periods of one year unless cancelled in writing by either party upon thirty (30) days advanced written notice.  Either party has the right to terminate this agreement upon thirty (30) days written notice.
4. Logo, Trademark Usage - The COMPANY reserves all of its rights in the icon, the message, any other images, its trade names and trademarks, and all other intellectual property rights.  The COMPANY must approve any other use of the COMPANY’S names, logos, or trademarks by the LINK PARTNER in writing.  
5. Responsibilities – Respective PARTIES will be solely responsible for their development, operation and maintenance of their site(s) and for all materials that appear on their site(s).  For example, and not limited to, the PARTIES will be solely responsible for the technical operation of their site(s), all related equipment, content posted on the site(s), including without limitation, that content posted on the site(s) do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights) and ensuring that materials posted on the site(s) are not libelous, sexually explicit or supportive of illegal activity.
(i) The PARTIES mutually disclaim all liability for these matters.
6. Limitation of Liability - Neither party will be liable for indirect, special or consequential damages for any loss of revenue, profits, or data arising in connection with this agreement or the Program, even if that party has been advised of the possibility of such damages.  Further, the COMPANY’S aggregate liability arising with respect to this agreement and the Program will not exceed the total commissions payable to the LINK PARTNER under this Agreement.  
7. Acknowledgement - THE LINK PARTNER ACKNOWLEDGES THAT THE LINK PARTNER HAS READ THIS AGREEMENT AND AGREES TO ALL ITS TERMS AND CONDITIONS.  THE LINK PARTNER UNDERSTANDS THAT THE COMPANY MAY OPERATE THE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH THE LINK PARTNER’S WEB SITE.  THE LINK PARTNER HAS INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND IS NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
8. Validity - If any term or provision hereof should be declared invalid by a court of competent jurisdiction, (a) the remaining terms and provisions hereof shall be unimpaired, and (b) the invalid term or provision shall be replaced by the parties hereto by a term or provision that is valid and that comes closest to expressing the intention of the invalid term or provision.
9. Execution - The parties agree to perform all acts and execute all supplementary instruments and/or documents, which may be necessary to carry out the provisions of this agreement.
10. Notices - All notices, requests, and consents permitted to be given by either party hereunder shall be in writing and shall be deemed to have been sufficiently given under this agreement if delivered personally or if duly mailed at a post office in the United States by registered or certified mail, postage prepaid, return receipt requested, addressed to such party as follow, or to such later address as may be given by written notice to the other party.
11. The entire agreement - The provisions, terms and conditions of this agreement and any Exhibits or addendums attached hereto represent the entire agreement and supersede any prior written agreement, oral statements or promises, or understanding not incorporated herein with respect to the subject matter hereof and may not be modified except by an instrument in writing duly executed by both parties.
12. Jurisdiction - This agreement will be subject to the laws of the United States and the State of Arizona with respect to the validity, interpretation, or performance, or of any rights or obligations of the parties, or of any litigation arising out of the breach or enforcement of this agreement.
